Terms of Reference and Membership
Note: In accordance with Statues 28,3 the Chair of Council and the Vice-Chancellor are ex-officio members of every Committee of the Council.
Standing Committee of Council
Terms of Reference
- To act on behalf of Council between meetings of Council, and to report on all major decisions so taken.
- Where necessary, to authorise action in relation to individual personnel matters, and to individual contractual and financial matters within agreed University policy and budgets.
- To receive, consider and, where appropriate, make recommendations to Council on the Minutes of the Audit Committee.
- To undertake such other duties as Council may decide.

Audit Committee
Terms of Reference
- To recommend the appointment of internal and external auditors to the University and to approve the terms of such appointments.
- To review annual financial statements before they are submitted to Council.
- To review the findings of the external auditors and to discuss with them the extent of their audit; to monitor the effectiveness of the external audit.
- To review management procedures, including risk management, and to monitor the effectiveness of systems of accounting and internal control.
- To review the internal auditors' audit needs assessment and audit plan.
- To monitor the effectiveness of internal audit and the actions taken in response to comments from the internal auditors, and to recommend appropriate action as necessary.
- To comment upon questions of value for money and the general efficiency, economy and effectiveness with which aspects of the University's activity are undertaken; to recommend appropriate action as necessary.
Note: The Committee normally reports to Standing Committee but has the right to insist that specified matters should be drawn to the attention of Council and/or the Vice-Chancellor as Accounting Officer.

- Two lay/University members not being heads of budgetary groups (appointed ad personam)
- Two persons with senior financial management experience gained outside the University

Nominations Committee
Terms of Reference
- To consider and advise Council on those persons (including the lay Officers) who might be appointed (or reappointed) to membership of Council in the appropriate Classes of membership.
- To review the membership of Court and to advise Council on those persons who might be appointed (or reappointed) to Court in the appropriate Classes of membership.

Professorial and Senior Salaries Committee
Terms of Reference
- To make periodic reviews of the salaries of individual professors and members of staff holding posts are level 7 in the career pathways framework and at level 6 in the higher responsibility zone.
- To oversee the appraisal arrangements for the staff in (i) above.
